A Nidhi Company is a special type of Non-Banking Financial Company (NBFC) registered under the Companies Act, 2013. The word "Nidhi" means "treasure" in Hindi, aptly describing its role as a mutual benefit society that operates like a small-scale bank exclusively for its members.
Unlike regular NBFCs, Nidhi Companies do not require RBI approval to operate (exempt under RBI Act, 1934). They function on the principle of mutual benefit—accepting deposits from members and providing loans only to members, creating a closed financial ecosystem within a trusted community.
Approximately 80% of Nidhi Companies are based in South India, particularly Tamil Nadu, where they serve as popular community-based savings and credit institutions.
To encourage members to develop regular savings habits and provide them with affordable loans during emergencies at lower interest rates compared to traditional lenders.
Only members can deposit and borrow. No transactions with outsiders allowed, ensuring financial activities remain within a trusted group.
Governed by Nidhi Rules, 2014 (amended in 2022) under the Companies Act. No separate RBI license needed, simplifying regulatory oversight.
Fosters financial support within communities, building trust through transparency and mutual benefit rather than profit maximization.
Before registering a Nidhi Company, these mandatory conditions must be fulfilled:
Public Limited Company with minimum 3 Directors and 7 Members. At least 3 directors must be Indian residents.
Name must end with "Nidhi Limited" and be unique (not similar to existing companies).
₹10 lakh paid-up share capital (increased from ₹5 lakh under 2022 amendments).
All directors must have Director Identification Number (DIN). Promoters/directors must be "fit and proper" persons.
Unlike other NBFCs, Nidhi Companies do not require RBI approval to commence operations. They are exempt under Section 45-I of the RBI Act, 1934.
After incorporation, Nidhi Companies must achieve these milestones within the first year:
200 members minimum must be enrolled within one year of incorporation.
₹20 lakh minimum NOF must be maintained after the first year (increased from ₹10 lakh in 2022).
1:20 ratio maintained (for every ₹1 of NOF, maximum ₹20 in deposits allowed).
Example: ₹20 lakh NOF = Max ₹4 crore deposits
10% of total deposits must be kept as unencumbered term deposits with scheduled banks.
Nidhi Companies must adhere to this yearly compliance schedule:
| Compliance Task | Form | Due Date | Frequency |
|---|---|---|---|
| Annual Return of Statutory Compliances | NDH-1 | Within 90 days after FY ends (June 30) | Yearly |
| Half-Yearly Return | NDH-3 | Within 30 days after each half-year (Sept 30 / Mar 31) | Half-Yearly |
| Financial Statements Filing | AOC-4 | Within 30 days of AGM | Yearly |
| Annual Return | MGT-7 | Within 60 days of AGM | Yearly |
| Director KYC | DIR-3 KYC | September 30 | Yearly |
| Income Tax Return | ITR-6 | September 30 (with audit) | Yearly |
Most Nidhi Companies require statutory audits. The ITR due date is September 30 for audit cases. For non-audit cases, the deadline is July 31.
These compliances are triggered by specific changes in the company and must be filed within prescribed timelines:
The 2022 amendments introduced stricter norms to enhance financial stability and member protection:
₹5 lakh → ₹10 lakh
₹10 lakh → ₹20 lakh
Transition Period: Companies incorporated before April 19, 2022, had 18 months to meet these new limits.
Filing fees based on company's share capital:
Annual compliance management by experts:
DSC Renewal:
₹500 - ₹1,500 (2 years)
Bank Charges:
₹2,000 - ₹5,000/year
Software/Accounting:
₹3,000 - ₹10,000/year
Exempt from RBI registration under Section 45-I, simplifying regulatory burden compared to other NBFCs.
Closed membership builds strong community trust, leading to stable deposits and lower default rates.
Predictable savings and loan cycles with controlled risk exposure due to member-only operations.
Simpler compliance compared to banks and other NBFCs, with only 2 major Nidhi-specific forms annually.
Promotes financial inclusion and savings habit in communities, especially in semi-urban and rural areas.
Can offer better deposit rates to members and lower loan rates than commercial lenders, benefiting both sides.
Ideal for: Community groups, housing societies, professional associations, religious trusts, and entrepreneurs looking to establish a trusted savings and credit institution within a closed group. Particularly suitable for South Indian states where this model has deep cultural acceptance.
Not suitable for: Those seeking to raise public deposits, operate nationally, or engage in complex financial services beyond basic savings and loans.
