What is Form DPT-3 Return Filing?

Form DPT-3 is a mandatory annual return that every company (excluding government companies) must file with the Ministry of Corporate Affairs (MCA) by June 30th each year. This return requires disclosure of all deposits, outstanding loans, and amounts received that do not qualify as deposits as of March 31st of that financial year.

Regulatory Background

Introduced through Companies (Acceptance of Deposits) Amendment Rules 2019 to safeguard creditor and depositor interests. Companies also had to file a one-time return for outstanding receipts from April 1, 2014, to March 31, 2019, within 90 days from March 31, 2019.

The DPT-3 return must be audited by the company's auditor to ensure accuracy and compliance with the Companies (Acceptance of Deposits) Rules, 2014. This filing helps maintain transparency in a company's financial dealings and ensures regulatory compliance.

Frequently Asked Questions (FAQs) on DPT-3 Filing

Form DPT-3 is the "Return of Deposits" that companies must file annually with the Registrar of Companies (ROC). It discloses details of deposits accepted by the company and transactions not considered as deposits under Rule 2(I)(c) of Companies (Acceptance of Deposits) Rules, 2014.

DPT-3 must be filed by June 30th every year. The form should include information as of March 31st of that financial year. Companies get 90 days from March 31st to complete the filing.

Companies not required to file DPT-3 include: Government companies, Banking companies, NBFCs, Housing Finance Companies, companies with no deposits, and those that fully repaid all deposits before March 31st.

Exempted deposits include: Loans from banks/financial institutions, inter-corporate deposits, amounts from government bodies, security deposits from employees, advances from customers, promoter contributions, amounts raised through bonds/debentures, and funds from venture capital/alternative investment funds.

Key documents include: Financial statements (Balance Sheet as of March 31st), Auditor's certificate (if applicable), Trust deed copy (if any), Charge creation documents (CHG-1), List of depositors, and Details of liquid assets maintained for deposits.

Form DPT-3 must be digitally signed by authorized persons like directors, CEO, CFO, Company Secretary, or Manager. They must have valid Digital Signature Certificates (DSC) registered with the MCA portal.

DPT-3 includes: Company details, Financial year information, Details of deposits accepted/renewed, Particulars of exempted deposits, Outstanding deposits, Details of liquid assets, Interest rates, Maturity dates, and any defaults in repayment.

Auditor's certificate requirement depends on the purpose of filing. For reporting loans/transactions, it may not be needed. For deposits, it's generally required as per MCA rules. Companies should check current regulations.

Late filing attracts additional fees and penalties. The company and its officers may face fines. Continuous non-compliance can lead to higher penalties and legal consequences under Companies Act provisions.

Deposits are amounts accepted from public under specific rules with interest, while loans include borrowings from banks, financial institutions, and exempted categories. DPT-3 requires disclosure of both but treats them differently.

Companies must disclose details of liquid assets maintained as security for deposits. This includes type of assets, value, location, and whether they're deposited with scheduled banks or kept separately.

Yes, amounts received from directors or their relatives in a private company are considered exempted deposits. However, they still need to be disclosed in the exempted deposits section of DPT-3.

Inter-corporate deposits (loans between companies) are considered exempted deposits. They must be reported in the exempted transactions section of DPT-3 but don't count as public deposits.

DPT-3 is filed online through the MCA portal. Login with company credentials, select DPT-3 form, fill details, upload attachments, pay fees, and submit with digital signatures. The process requires valid DSC.

Incorrect or false information in DPT-3 can lead to penalties for company and officers. This includes fines, prosecution, and in severe cases, disqualification of directors. Accurate disclosure is crucial.
