What is DIR-3 KYC?

DIR-3 KYC is an annual mandatory compliance requirement introduced by the Ministry of Corporate Affairs (MCA) for all individuals holding a Director Identification Number (DIN). A DIN is a unique 8-digit number allotted to individuals who are or intend to become directors of companies in India.

Earlier, obtaining a DIN was a one-time process through Form DIR-3. However, the MCA has now made it compulsory for every director to annually update and verify their KYC (Know Your Customer) details through Form DIR-3 KYC to maintain accurate records and enhance corporate governance transparency.

Key Purpose
  • Maintain accurate and updated director information in MCA registry
  • Enhance transparency in corporate governance
  • Prevent fraudulent activities and misuse of DINs
  • Ensure DIN remains active for company filings and appointments

Frequently Asked Questions (FAQs) on DIN eKYC Filing

DIN eKYC (Form DIR-3 KYC) is an annual compliance requirement where directors must verify and update their personal details with the Ministry of Corporate Affairs (MCA). It's required to maintain accurate director records, prevent fraud, and ensure transparency in corporate governance.

Following individuals must file DIR-3 KYC:
• All directors with an "Approved" DIN status
• Directors whose DIN is deactivated due to non-filing
• Disqualified directors
• DIN holders even without current directorship
• LLP designated partners (DIN holders)
• Individuals who have a DIN but have never used it

The annual deadline is 30th September of each financial year. Directors who obtained their DIN on or before 31st March must file by the following 30th September. For example, if you had DIN on 31st March 2024, file by 30th September 2024.

Essential documents include:
• Valid Digital Signature Certificate (DSC)
• Aadhaar Card (mandatory)
• PAN Card
• Passport (for foreign nationals/NRIs)
• Address proof (utility bill/bank statement)
• Passport size photograph
• Mobile number and email ID (registered with Aadhaar)

If you miss the 30th September deadline:
1. Your DIN will be marked as "Deactivated due to non-filing"
2. You cannot use your DIN for any company filings
3. To reactivate, you must file DIR-3 KYC with a late fee of ₹5,000
4. You may face restrictions in company appointments

1. DIR-3 KYC (Form): For first-time filing or when there are changes in personal details (address, phone, email).

2. DIR-3 KYC (Web): For annual filing when there are NO changes in your details. This is a simplified web-based form.

Online Filing Process:
1. Login to MCA portal with DIN and password
2. Go to "Company e-Filing" → "DIN Related Filings"
3. Select appropriate form (DIR-3 KYC or DIR-3 KYC Web)
4. Enter personal and contact details
5. Upload required documents
6. Verify Aadhaar with OTP
7. Digital signature by director
8. Certification by practicing professional (CA/CS)
9. Submit and save Service Request Number (SRN)

Yes, DIR-3 KYC is an annual compliance requirement. Every director must file it each year by 30th September, even if there are no changes in their details. The "Web" version is used for no-change filings.

Digital signing requires:
1. Director's DSC: Class 2 or Class 3 DSC registered with MCA
2. Professional's DSC: A practicing CA/CS/Cost Accountant must also sign
3. Install DSC drivers on your computer
4. During MCA filing, select the certificate and enter password
5. Two-step signing: First by director, then by professional

For deactivated DIN due to non-filing:
1. File DIR-3 KYC (Form) (not the Web version)
2. Pay late fee of ₹5,000 during filing
3. Follow normal filing process with all documents
4. After approval, DIN gets reactivated in 2-3 working days
5. Check status using SRN on MCA portal

Yes, DIR-3 KYC applies to LLP designated partners too. Since LLPs use DIN for designated partners, they must also comply with annual DIR-3 KYC filing requirements by the same deadline of 30th September.

SRN (Service Request Number) is a unique tracking number generated after successful form submission.

To track your filing:
1. Save your SRN carefully
2. Check status on MCA portal under "View Payment/Transaction Status"
3. You'll receive approval email on registered email ID
4. Typical processing time: 2-5 working days

Yes, NRI and foreign directors must also file DIR-3 KYC. Instead of Aadhaar, they need to provide:

• Foreign mobile number and email
• The filing process remains similar but with passport as primary ID

Filing Costs:
• On-time filing: No government fee for DIR-3 KYC Web
