Directors are pivotal to the seamless operation and strategic direction of a Private Limited Company. They manage daily activities, make crucial decisions, and are responsible for protecting shareholder investments. As businesses evolve and expand, there often arises a need to appoint additional directors or make changes to the existing board to meet growing demands and shareholder expectations.
These changes must be carried out strictly in accordance with the regulations outlined in the Companies Act, 2013 to ensure the company remains compliant and maintains proper corporate governance. Timely and accurate reporting of director changes to the Ministry of Corporate Affairs (MCA) is essential for maintaining accurate company records and building trust with shareholders and regulators.
A Private Limited Company must have a minimum of 2 directors and can have up to 15 directors. For appointing more than 15 directors, a special resolution (requiring approval from more than 75% of voting shareholders) is necessary.
